These terms set out the basis on which Verdua provides advisory services and operates this website. Please read them before engaging our services or making use of this site. By proceeding with an engagement or continuing to use the site, you accept these terms.
1. About Verdua
Verdua is a sustainability and ESG advisory firm based at Level 6, Menara Worldwide, Jalan Bukit Bintang, 55100 Kuala Lumpur, Malaysia. We provide advisory and consulting services to organisations seeking to understand and develop their approach to environmental, social and governance matters. References to "Verdua", "we", "us" or "our" in these terms refer to the firm and its advisors.
2. Our Services
Verdua offers the following advisory services:
Sustainability Baseline Review
A practical study reviewing an organisation's current environmental and social footprint and reporting readiness. Scope: two to three weeks. Includes a baseline summary, a gap note and a discussion session.
ESG Roadmap & Reporting Framework
A structured engagement to shape a sustainability roadmap and a clear reporting approach. Scope: four to six weeks. Includes a roadmap, a reporting framework and a leadership workshop.
Sustainability Advisory Retainer
An ongoing advisory arrangement supporting leadership as sustainability initiatives take shape. Scope: three to six months. Includes scheduled reviews, working notes and guidance between sessions.
Our advisory services constitute general business consulting and do not constitute legal, financial, accounting or regulated professional advice. Decisions and their implementation remain with the client at all times.
3. Engagements and Scope
Each engagement is governed by a written engagement letter or proposal agreed between Verdua and the client. The engagement letter sets out the specific scope, deliverables, timeline and fees applicable to that engagement.
Work outside the agreed scope may be discussed and added by mutual agreement in writing. Verdua will not undertake additional work without written confirmation of scope and fees.
The timelines noted for each service are indicative. Actual timelines depend on the availability and responsiveness of the client and the completeness of information provided.
4. Fees and Payment
Fees are as stated in the engagement letter and are denominated in Malaysian Ringgit (RM). Published prices on this website are indicative starting points; the fee for any engagement is confirmed in the engagement letter.
- A deposit of 50% of the total fee is due upon signing the engagement letter, before work commences.
- The remaining balance is due upon delivery of the agreed final deliverables, or at the intervals stated in the engagement letter for retainer arrangements.
- Invoices are payable within 14 days of issue.
- Overdue invoices may attract a late payment charge of 1.5% per month on the outstanding balance.
All fees are exclusive of any applicable taxes unless stated otherwise. Reasonable out-of-pocket expenses incurred during an engagement (such as travel to client premises) will be billed at cost with prior agreement.
5. Deliverables and Intellectual Property
Upon full payment of fees, the client receives a non-exclusive licence to use the deliverables produced during the engagement for their internal business purposes. Verdua retains ownership of methodologies, frameworks, tools and background materials developed independently of the engagement.
Deliverables may not be resold, redistributed or presented as the client's own work product to third parties without prior written consent from Verdua.
Verdua may reference the engagement in general terms (for example, the sector and type of service) for its own professional purposes unless the client requests otherwise in writing.
6. Confidentiality
Both parties agree to treat confidential information shared during an engagement with care and discretion. Verdua will not disclose client confidential information to third parties except where required by law or with the client's prior written consent.
Confidential information does not include information that is publicly available, independently known to Verdua, or disclosed to Verdua by a third party without restriction.
7. Liability and Disclaimers
Verdua's advice is based on information provided by the client and publicly available sources at the time of the engagement. We take care to work accurately, but we cannot be responsible for outcomes arising from incomplete or inaccurate information provided to us.
Our advisory work constitutes recommendations and analysis, not binding direction. Clients are responsible for their own decisions and for assessing whether our recommendations are appropriate for their circumstances.
To the extent permitted by Malaysian law, Verdua's total liability for any claim arising from an engagement is limited to the fees paid by the client for that engagement. We are not liable for indirect, consequential or special losses.
Nothing in these terms excludes liability for fraud or for any matter that cannot legally be excluded.
8. Termination
Either party may terminate an engagement by giving 14 days written notice. In the event of termination:
- The client will pay for work completed up to the date of termination, calculated on a proportional basis.
- Any deposit paid is non-refundable unless Verdua terminates without cause.
- Verdua will provide any work product completed at the date of termination.
Either party may terminate immediately where the other party has committed a material breach of the engagement terms that has not been remedied within 7 days of written notice.

This website is provided for information purposes. The content on this website does not constitute advice of any kind. Verdua makes reasonable efforts to keep the information current and accurate but makes no representations as to its completeness.
You may not copy, reproduce or redistribute content from this website without prior written consent, except for personal reference use.
Verdua is not responsible for the content of any external websites linked from this site. Links are provided for convenience and do not imply endorsement.
10. Governing Law
These terms and any engagement are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Verdua and the client will attempt to resolve any dispute informally before pursuing formal proceedings.
